How To Have An Uneventful Commercial Closing

Closing day is a milestone that should be celebrated, but you want the actual closing to be as uneventful as possible. No surprise title issues, no last second oversights, no amending or tweaking of the contract. But how can you prevent issues from appearing at closing? Below, we share some of the strategies for ensuring your commercial closing is as uneventful as possible.

Most unwelcome surprises come from the seller’s end during closing, but that’s not to say that the buyer is immune from issues or that they can’t help prevent certain seller-originated issues ahead of closing. Here’s what you can do to avoid an eventful closing as a commercial buyer.

Sound and Secure Financing

The most common issue that causes problems for buyers at closing is an issue with their financing. Commercial properties are typically much more expensive than residential options, which means you’ll need to secure more funding or a larger loan to finance the purchase. Ensure you understand what you’re approved for from a financial institution. Stay within your means and don’t take on additional debt in the time leading up to the purchase if possible.

Your financing is likely conditional on you performing certain actions ahead of closing. You may be required to sell off some other property or conduct specific title and property investigations prior to closing. Make sure you read your financing conditions and abide by their regulations. One missed inspection can delay closing, so do what you need to do to ensure the loan is applicable at closing.

Title Investigation

The other thing you’ll want to do to reduce your likelihood of having an eventful closing is to connect with a title services team early in the process. Once you have an accepted offer or before you make an offer, get in touch with a title services team like Commercial Partners. They’ll be able to assist with all the inspections and investigations that need to occur to ensure your financing is in order and prevent title problems from tanking the purchase.

A title services team will review the chain of title to look for any potential defects that need to be settled prior to closing. If the seller needs authorization from other parties, like siblings or an ex spouse in order to complete the sale, they will ensure the seller’s team clears up these potential issues. They’ll also look for other problems that need to be addressed prior to closing, like:

  • Liens

  • Easements

  • Boundary issues

  • Zoning regulations

  • Land use rights

  • Environmental pollution

  • Property surveys

Any of these matters can lead to delays or problems at closing, so the sooner you connect with a title services team and discover them, the easier it will be to inform the seller of their obligations that could hold up closing. Last minute inspections that turn up real concerns will almost assuredly lead to problems at closing, so don’t delay once you have a purchase agreement in place.

If these problems aren’t fixed ahead of closing, it can delay the purchase or force you into a position where you may end up inheriting someone else’s debt. Title insurance can protect you against some undiscovered problems that develop once you’ve closed, but known issues that aren’t rectified prior to closing are exempt from this protection, so don’t sign on the dotted line and assume the seller will handle things they’ve promised to fix once the sale is complete. Have a title services team identify and require these issues to be fixed ahead of closing so there are no surprises when the big day comes.

It can feel like your hands are tied to prevent closing problems, but if you ensure your financing is in order and bring a title services team aboard early in the process, you can greatly decrease the chances of having an eventful closing day. Closing is a big event, but it shouldn’t be eventful, and it won’t be if you trust your acquisition to the team at Commercial Partners.
